Plain-English Summary

This legislation provides a specific legal pathway for the reinstatement of the corporate charter of Los Toros Band, Inc., an entity originally incorporated in Rhode Island on September 3, 1999. The corporation's charter was previously forfeited or revoked, likely due to a failure to maintain standard administrative filings or tax obligations. This bill offers a conditional reprieve, allowing the organization to regain its official corporate standing provided it meets a series of strict compliance requirements by a designated deadline.

To successfully vacate the revocation, Los Toros Band, Inc. must address all outstanding financial and administrative obligations to the state. Specifically, the bill mandates that the corporation file any missing corporate tax returns and pay all back taxes owed to the Rhode Island Division of Taxation. Furthermore, the organization must secure a signed certificate from the tax administrator verifying that these financial obligations have been fully satisfied, which must then be filed with the secretary of state.

In addition to resolving its tax liabilities, the corporation is required to submit all delinquent annual reports and pay any associated filing fees to the secretary of state's office. If Los Toros Band, Inc. successfully completes all of these steps on or before December 31, 2026, the revocation of its charter will be officially vacated. Upon fulfillment of these conditions, the entity will be fully restored to its prior legal status, regaining all corporate privileges, benefits, and powers as though the revocation had never taken place.

Bill Analysis

Both viewpoints
For Progressives
  • Allows a community or cultural organization to continue its operations.
  • Ensures the state collects previously unpaid taxes and administrative fees.
  • Provides a fair, structured pathway for organizations to correct past administrative mistakes.
  • Requires special legislative action for a single entity, which could be viewed as unequal treatment.
  • Forgives past non-compliance with state corporate tax and reporting regulations.
  • Consumes legislative time and resources for a minor, private administrative issue.
For Conservatives
  • Supports business continuity by reversing a regulatory death penalty for administrative errors.
  • Brings unexpected revenue to the state by incentivizing the payment of back taxes.
  • Promotes economic and cultural activity by allowing the corporation to operate legally again.
  • Uses public legislative resources to address a single private entity's compliance failure.
  • Bypasses standard administrative penalties or procedures for corporate forfeiture.
  • Could set a precedent for other businesses expecting special legislative bailouts for non-compliance.
